Termination Clause
Termination Without Cause: Either LIAM IAN LLC ("Provider") or the client ("Client") may terminate any agreement between the parties upon [Specify Notice Period, e.g., 30 days' notice] in writing, without cause.
Termination for Cause: Either party may terminate any agreement between the parties immediately upon written notice if the other party materially breaches any provision of the agreement and fails to cure such breach within [Specify Cure Period, e.g., 14 days] after receiving written notice specifying the nature of the breach.
Effect of Termination: Upon termination of any agreement between the parties:
Client shall pay Provider for all services rendered and expenses incurred up to the date of termination, in accordance with the payment terms specified in the agreement.
Provider shall promptly deliver to Client any completed Work Product or materials in progress, subject to Client's payment obligations.
Any provisions of the agreement that by their nature should survive termination, including but not limited to confidentiality, intellectual property ownership, and indemnification, shall survive termination.
Automatic Termination: This agreement shall automatically terminate upon completion of the services specified in the agreement, unless terminated earlier in accordance with the provisions of this clause or by mutual agreement of the parties.
No Liability for Termination: Neither party shall be liable to the other for any losses, damages, or expenses incurred as a result of termination of the agreement in accordance with its terms.
