Limitation of Liability Clause

Limitation of Liability: To the maximum extent permitted by law, LIAM IAN LLC ("Provider") shall not be liable to the client ("Client") or any third party for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of profits, loss of revenue, loss of data, or loss of business opportunity, arising out of or related to any agreement between Provider and Client, regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, even if Provider has been advised of the possibility of such damages.
Total Liability: In no event shall Provider's total liability to Client or any third party arising out of or related to any agreement between Provider and Client exceed the total amount paid by Client to Provider for the services rendered under such agreement during the [Specify Time Period, e.g., 12 months] period immediately preceding the event giving rise to the claim.
Exceptions: The limitations of liability set forth in this clause shall not apply to:

Claims arising from Provider's gross negligence or willful misconduct;

Allocation of Risk: The limitations and exclusions of liability in this clause allocate the risks between Provider and Client. Client acknowledges and agrees that Provider has set its prices and entered into any agreement between the parties in reliance upon the limitations of liability set forth herein and that the same form an essential basis of the bargain between the parties.
