Intellectual Property Ownership

Ownership of Work Product: LIAM IAN LLC ("Provider") agrees that all intellectual property rights, including but not limited to copyrights, trademarks, and trade secrets, in any artwork, designs, photographs, written content, or other materials created by Provider ("Work Product") as part of the services provided to the client ("Client") shall belong exclusively to the Client upon full payment for such services.
License to Provider: Client grants Provider a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute the Work Product solely for the purpose of providing the agreed-upon services to Client.
Third-Party Materials: Provider warrants that any third-party materials used in the creation of the Work Product are properly licensed or obtained by Provider and do not infringe upon the intellectual property rights of any third party.
Confidentiality: Provider agrees to keep all Client materials and information confidential and to not disclose such materials or information to any third party without the prior written consent of Client.
Transfer of Rights: Upon full payment for the services provided, Provider agrees to promptly transfer all intellectual property rights in the Work Product to Client, including any source files or original materials, to the extent such transfer is feasible and does not violate the rights of any third party.
Indemnification: Provider agrees to indemnify and hold harmless Client from and against any claims, damages, liabilities, costs, and expenses arising out of or related to any infringement or misappropriation of third-party intellectual property rights resulting from Provider's use of Client materials or information in the creation of the Work Product.
Survival: This Intellectual Property Ownership clause shall survive the termination or expiration of any agreement between Provider and Client.
