Independent Contractor Status

Independent Contractor Relationship: LIAM IAN LLC ("Provider") and the client ("Client") agree that Provider is an independent contractor and that nothing in any agreement between the parties shall be construed to create a partnership, joint venture, employment, or agency relationship between Provider and Client.
Control and Autonomy: Provider acknowledges and agrees that it has full control and autonomy over the manner and means by which it performs the services under any agreement with Client, including the time, location, tools, and resources used to perform the services.
No Employee Benefits: Provider acknowledges and agrees that it is not entitled to receive any employee benefits from Client, including but not limited to health insurance, retirement benefits, paid time off, or sick leave.
Tax Obligations: Provider agrees to be solely responsible for payment of all taxes, including but not limited to income taxes, self-employment taxes, and any other taxes or contributions required by law, arising out of or related to the compensation received for services rendered to Client.
No Authority to Bind: Provider agrees that it does not have the authority to bind Client to any agreements, contracts, or obligations without the express written consent of Client.
No Exclusivity: Provider acknowledges and agrees that it is free to provide services to other clients and customers during the term of any agreement with Client, subject to any non-compete or exclusivity provisions contained therein.
No Entitlements: Provider acknowledges and agrees that it is not entitled to any benefits, rights, or privileges afforded to employees of Client, and that it is not eligible for unemployment compensation, workers' compensation, or any other benefits or protections provided to employees by law.
Indemnification: Provider agrees to indemnify and hold harmless Client from and against any claims, damages, liabilities, costs, and expenses arising out of or related to any misrepresentation or breach of this Independent Contractor Status clause by Provider.
