Indemnification Clause

LIAM IAN LLC ("Provider") agrees to indemnify and hold harmless the client ("Client") from and against any and all claims, damages, liabilities, costs, and expenses, including reasonable attorney's fees, arising out of or related to:

Any negligent acts or omissions by Provider or its employees, contractors, or agents in the course of providing Art, Design, Photography, and Business Services to Client.
Any breach of this Agreement by Provider, including but not limited to breaches of confidentiality, intellectual property rights, or other obligations owed to Client.
Any claims of third parties arising from or relating to the services provided by Provider, including but not limited to claims of copyright or trademark infringement, defamation, or violation of privacy rights.

Provider's indemnification obligations shall not apply to the extent that any claim, damage, liability, cost, or expense arises out of or results from the negligent or willful misconduct of Client or its employees, contractors, or agents.

In the event of any claim for which Provider is obligated to indemnify Client under this Agreement, Client agrees to promptly notify Provider in writing of such claim and to provide Provider with reasonable assistance, cooperation, and information in defending or settling the claim.

This Indemnification Clause shall survive the termination or expiration of this Agreement.

Effective Friday, April 26, 2024. This statement and clause serves as policy for LIAM IAN LLC™ and any subdivision or subsidiary entity or project authored, designed, coordinated, cultivated and/or owned by LIAM IAN LLC™.
