Coaching and Consultation Confidentiality Clause

Purpose of Coaching and Consultations: LIAM IAN LLC ("Provider") offers coaching and consultation services to clients ("Client") for the purpose of providing guidance, advice, and support in achieving personal and professional goals, improving skills, and enhancing overall performance.
Confidentiality Agreement: Provider and Client agree that all information shared during coaching and consultation sessions, including but not limited to personal goals, challenges, strategies, and action plans, shall be treated as confidential and shall not be disclosed to any third party without the express written consent of the disclosing party.
Non-Disclosure and Non-Use of Information: Client agrees not to disclose or use any information shared during coaching and consultation sessions for any purpose other than the intended coaching or consultation engagement without the prior written consent of Provider. This includes refraining from independently implementing strategies or actions discussed during coaching or consultation sessions without proper authorization.
No Unauthorized Use of Information for Commercial Purposes: Client agrees not to use any information shared during coaching or consultation sessions as a basis for independently developing or offering similar services, products, or solutions for commercial purposes without the prior written consent of Provider.
Ownership of Intellectual Property: Provider retains all rights, title, and interest in any intellectual property, methodologies, or materials provided or developed during coaching or consultation sessions, including but not limited to training materials, templates, tools, and resources. Client agrees not to reproduce, distribute, or use such materials for any purpose other than the intended coaching or consultation engagement without the express written consent of Provider.
Indemnification: Client agrees to indemnify, defend, and hold harmless Provider from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to Client's unauthorized disclosure or use of information shared during coaching or consultation sessions in violation of this clause or any applicable laws or regulations.
Continuing Obligations: The obligations and protections provided under this Coaching and Consultation Confidentiality Clause shall survive the termination or expiration of any agreement between Provider and Client, ensuring ongoing protection for the confidentiality and integrity of information shared during coaching and consultation sessions.
