Assignment by Provider: LIAM IAN LLC ("Provider") agrees that it shall not assign, transfer, or delegate any of its rights, duties, or obligations under any agreement with the client ("Client") without the prior written consent of Client.
Subcontracting by Provider: Provider may, at its sole discretion, engage subcontractors or third-party service providers to assist in the performance of the services under any agreement with Client; provided, however, that Provider shall remain fully responsible for the performance of such subcontractors or third-party service providers and shall ensure that they comply with all terms and conditions of the agreement between Provider and Client.
Notice of Subcontracting: Provider agrees to notify Client in writing of any subcontracting arrangements entered into by Provider in connection with the services provided to Client under any agreement between the parties, including the identity of the subcontractors or third-party service providers and the scope of their responsibilities.
No Assignment by Client: Client agrees that it shall not assign, transfer, or delegate any of its rights, duties, or obligations under any agreement with Provider without the prior written consent of Provider.
No Third-Party Beneficiaries: Nothing in any agreement between Provider and Client shall confer any rights or benefits upon any person or entity other than Provider and Client and their respective successors and permitted assigns.
